ACCEPTANCE BY PMMI MEDIA GROUP
This Marketing & Promotional Opportunity (MPO) Sponsorship Agreement ("Agreement") is between PMMI Media Group (“Organizer” or “PMMI Media Group”) and Sponsor relating to [Event Name] (“Event”). Sponsor’s participation in this Agreement is subject to PMMI Media Group’s approval.
NO ASSIGNMENT OR TRANSFER
The Marketing & Promotional Opportunities (MPOs) are for Sponsor’s exclusive use and may not be assigned, transferred, shared, or subleased — in whole or in part — including to any affiliate or related company — without PMMI Media Group’s prior written consent. Unauthorized transfer or assignment shall be null and void.
SPONSOR DELIVERABLES
Sponsor is solely responsible for providing all materials (logos, creative assets, advertisements, digital files, copy, etc.) required to fulfill the sponsorship benefits by the deadlines and through the channels specified by PMMI Media Group.
Failure to provide complete and compliant materials by the specified deadlines may result in forfeiture of the related sponsorship benefit without refund or credit. PMMI Media Group is not responsible for incomplete, late, or incorrectly submitted materials and will make reasonable efforts — but is not obligated — to accommodate late submissions.
PAYMENT TERMS
Full payment of all sponsorship fees is due within thirty (30) days of order placement or at least thirty (30) days prior to the start of the Event, whichever occurs first. Failure to remit payment in accordance with these terms may result in suspension of sponsorship benefits, removal from marketing promotions, and/or termination of this Agreement without refund.
CANCELLATION OR TERMINATION
Termination by Sponsor:All event sponsorships are final, non-cancellable, and non-transferrable. Sponsor understands and agrees that submission of a sponsorship registration constitutes a binding legal obligation to pay the full amount due, regardless of subsequent changes in Sponsor’s circumstances, marketing priorities, or business status.
Termination by PMMI Media Group for Cause or Convenience: PMMI Media Group reserves the right, in its sole discretion, to terminate Sponsor’s participation for reasons including, but not limited to, non-payment, breach of agreement, or reduction/change in Sponsor’s commitment to the Event. In such cases, no refund will be issued.
Force Majeure: PMMI Media Group shall not be considered in breach or liable for cancellation or non-performance caused by events beyond its reasonable control, including but not limited to acts of God, governmental actions, fire, flood, strikes, labor or material shortages, transportation interruptions, venue restrictions, public health or safety concerns, or similar events.
Event Cancellation: If the Event is cancelled, Sponsor will not be reimbursed for costs already incurred by PMMI Media Group or for digital sponsorship opportunities already fulfilled. For other sponsorship opportunities, Sponsor may transfer its investment to a future PMMI Media Group event or media opportunity, at Organizer’s discretion.
INDEMNIFICATION
Sponsor agrees to indemnify, defend, and hold harmless PMMI Media Group from all liability, damages, and expenses arising from the acts or omissions of Sponsor, its employees, agents, or contractors.
LIMITATION OF LIABILITY
PMMI Media Group is not liable for lost profits, incidental, or consequential damages under any circumstances. PMMI Media Group’s maximum liability to Sponsor shall not exceed the total amount paid by Sponsor under this Agreement.
MISCELLANEOUS
Modifications: Any modifications must be in writing and signed by an authorized representative of PMMI Media Group.
Entire Agreement: This Agreement supplements the Exhibit Space Contract. In case of conflict, this Agreement will control.
Waiver & Severability: No waiver is valid unless in writing. If any provision is held invalid, the remainder shall continue in full force.
Assignment: PMMI Media Group may assign this Agreement to any successor or related entity.
Governing Law: This Agreement is governed by the laws of the Commonwealth of Virginia. Any action shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia.
Relationship: The parties are independent contractors and no partnership, joint venture, or agency relationship is created.
